Terms of Service

1. The Service

Ranla is an AI-assisted growth marketing service for software companies. We help you understand product usage, plan and send lifecycle email, measure conversions and revenue, and report results (the "Service"). The Service may include a dashboard, APIs, SDKs, campaign tools, automations, domain and sending configuration, analytics, and optional integrations such as GitHub.

Lifecycle campaigns send from domains you verify on our infrastructure. Your existing transactional email can keep running through whatever provider you use today until you choose to move it. You remain responsible for your product, your recipients, and compliance with applicable law.

You are responsible for all activity under your account and for ensuring your use complies with applicable laws, including CAN-SPAM, GDPR, PECR, CASL, and similar anti-spam and data protection laws.

2. Plans, Billing & Payments

Paid plans are described on our pricing page and are generally based on the number of people who were active in your product during a rolling measurement window, with included email volume as stated for each plan.

Paid plans are billed in advance through Stripe and auto-renew unless you cancel before renewal. You authorize us to charge applicable fees, taxes, and any metered overage described at checkout or in your account.

Early access or waitlist enrollment does not guarantee availability, pricing, or feature access until we confirm your account.

3. Cancellation

You may cancel paid plans from your billing settings when self-serve billing is available, or by contacting us. Cancellation takes effect at the end of the current billing period unless otherwise stated. We do not provide refunds or credits for partial periods except where required by law.

4. Acceptable Use

• Send only to recipients with a lawful basis to hear from you, and honor opt-out and suppression requests promptly.
• Do not use the Service for unlawful purposes, phishing, malware, harassment, deception, or impersonation.
• Do not send unsolicited bulk email, purchased or scraped lists without a documented lawful basis, or content that violates mailbox provider policies.
• Do not circumvent rate limits, guardrails, plan caps, suppressions, or account suspensions.
• Do not use the Service in ways that harm deliverability for other customers or abuse shared infrastructure.

5. AI-Generated Content & Your Review

Ranla may draft campaigns, copy, instrumentation suggestions, or code changes for your review. You are responsible for what you approve, publish, merge, or send.

Unless you enable a mode that allows automated sending within limits you set, you should review outbound communications before they reach recipients. Automated features operate within guardrails you configure and may still require your approval for certain actions.

6. Customer Data & Privacy

You are the controller of personal data in your product, recipient lists, message content, and related customer data you provide or generate through the Service.

Ranla acts as a processor for Customer Personal Data we process on your behalf to operate the Service. Processing is described in our Privacy Policy. For enterprise or EU/UK processing needs, contact us for a Data Processing Agreement.

7. Email Sending & Deliverability

When you send through our infrastructure, mail is sent from domains you verify and identify you to recipients. We do not guarantee specific inbox placement, delivery rates, or third-party mailbox provider behavior.

We may throttle, queue, suspend, or terminate sending that violates these Terms, applicable law, or plan limits, or that creates deliverability or abuse risk.

8. Intellectual Property & Feedback

The Service, including software, designs, models, and documentation, is owned by Power Only Transit Inc. dba Ranla and its licensors. We grant you a non-exclusive, non-transferable, revocable license to use the Service during your subscription or authorized trial use.

If you submit feedback or suggestions, you grant us a royalty-free, worldwide license to use that feedback to improve the Service without obligation to you.

9. Disclaimers

The Service is provided "as is" and "as available." Power Only Transit Inc. dba Ranla disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant uninterrupted availability, specific business outcomes, revenue results, or compatibility with third-party platforms.

10. Limitation of Liability

To the maximum extent permitted by law, Power Only Transit Inc. dba Ranla will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, or data.

Our aggregate liability for all claims relating to the Service will not exceed the amounts paid by you for the Service in the twelve (12) months preceding the event giving rise to liability. Nothing limits liability for willful misconduct or where prohibited by law.

11. Termination & Suspension

We may suspend or terminate your access immediately for material breach, unlawful activity, abuse, or risks to platform integrity.

Upon termination, your right to use the Service ceases. Sections intended to survive (including intellectual property, disclaimers, limitations, and governing law) survive termination.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.

Exclusive jurisdiction and venue lie in the state or federal courts located in Delaware, and you consent to their jurisdiction.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or in-product notice. Continued use after the effective date constitutes acceptance.
